TERMS OF SERVICE / EULA

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “Customer”, “you”) and Waptoz Communications Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Unit 811, Tower A, Spaze Itech Park, Gurugram, Haryana – 122018, India (“Waptoz”, “we”, “us”, “our”).

By accessing or using https://www.waptoz.com, its applications, APIs, or services (collectively, the “Platform”), you agree to be bound by these Terms.

1. SERVICES

Waptoz is a WhatsApp marketing, automation, CRM, and AI-enabled platform that enables businesses to communicate with customers using official WhatsApp Cloud APIs and related tools (“Services”).

2. ELIGIBILITY & ACCEPTABLE USE

  • You are a legitimate business or authorized representative
  • You will use the Services only for lawful business purposes
  • You will not use Waptoz for spam, fraud, misleading communication, illegal products, or prohibited content
  • You agree to comply with all applicable laws and WhatsApp / Meta policies

3. ACCOUNT & SUBSCRIPTIONS

  • Access is provided through paid subscription plans listed on the Platform
  • Fees are billed in advance and exclusive of applicable taxes
  • Subscriptions auto-renew unless cancelled before renewal
  • Except where required by Indian law, fees are non-refundable

4. USER DATA & PRIVACY

You retain ownership of all data, messages, and content uploaded to the Platform (“User Data”). Waptoz processes User Data solely to provide the Services and in accordance with

  • Its Privacy Policy
  • The Digital Personal Data Protection Act ,2023

You confirm that you have obtained all required customer consents before sending messages.

5. WHATSAPP & THIRD-PARTY SERVICES

Waptoz relies on third-party platforms including WhatsApp Cloud API and Meta services.

  • Message delivery, templates, quality ratings, and account approvals are controlled by WhatsApp/Meta
  • Waptoz is not responsible for suspensions, rejections, or policy actions taken by such platforms

6. AI FEATURES

  • AI-generated outputs may not always be accurate
  • AI outputs are not legal, medical, or professional advice
  • You are responsible for reviewing content before use

7. INTELLECTUAL PROPERTY

All rights in the Platform, software, and trademarks belong to Waptoz. You are granted a limited, non-transferable right to use the Services during an active subscription.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law,

  • Waptoz shall not be liable for indirect or consequential damages
  • Total liability shall not exceed the fees paid by you in the preceding 12 months

9. TERMINATION

Waptoz may suspend or terminate access if you violate these Terms or applicable laws. You may stop using the Services at any time.

10. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of India. Disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996. with

  • Arbitrator: One, mutually appointed
